Here is what I do: First, take a backup of your Minecraft folder; copy the whole thing elsewhere for safe keeping. Then unpack the server file you downloaded to its own folder. Then copy everything except the server properties file ( and whitelist and permissions if you use those) and paste it on top of your Minecraft folder. Tell it to overwrite.
